Terms and Conditions of Service

Welcome to SkyWrite.ca (skywrite.ca),
a digital billboard and signage management platform operated by SkyWrite.ca ("we", "us", "our").
By accessing or using this platform, you agree to be bound by these Terms and Conditions of Service ("Terms"). If you do not
agree, do not use the platform.
1. Definitions
- "Platform" — the SkyWrite.ca web application, APIs, and associated services.
- "Account" — a registered user account on the Platform.
- "Organization" — an entity created on the Platform to manage billboards, teams, and content.
- "Billboard" — a physical or digital display device registered and managed through the Platform.
- "Placard" — a media asset (image, video, or URL) uploaded to the Platform for scheduled display on Billboards.
- "SkyTime" — a time slot within a scheduling program that determines when content is displayed on a Billboard.
- "SkyImpact" — a unit-based billboard marketplace window that allows repeat daily plays to be purchased against available capacity.
- "SkyTime Program" — a scheduling configuration that governs the daily, weekly, or date-specific display schedule for a Billboard.
- "SkyCast" — a targeted broadcast of a specific Placard to an activated Billboard at a scheduled time.
- "Activation" — the process of linking a physical Billboard device to the Platform for live content delivery.
- "Marketplace" — the section of the Platform where SkyTime slots may be listed, purchased, or sold between users.
- "Subscription" — a paid tier that grants additional permissions, resource quotas, and features.
2. Eligibility
You must be at least 18 years of age and legally capable of entering into binding agreements to use the Platform.
By creating an Account, you represent and warrant that all information you provide is accurate, current, and complete.
3. Account Registration & Security
- You must register with a valid email address and verify it before gaining full access.
- You are responsible for maintaining the confidentiality of your login credentials, PINs, and activation codes.
- You must not share your Account with others. Each individual requires their own Account; team access is managed through Organization permissions.
- You agree to notify us immediately of any unauthorized access or suspected security breach.
- We reserve the right to suspend or terminate Accounts that show signs of fraudulent or unauthorized activity.
4. Organizations & Team Permissions
- Users may create and manage Organizations subject to their Subscription tier and profile permissions.
- Organization owners may invite team members and assign permission levels ranging from Read-Only Access to Full Delegate Access.
- Organization owners are responsible for managing permissions granted to their team members and bear responsibility for actions taken under delegated access.
- Invitations to join an Organization are subject to approval and may be revoked at any time by the inviting party.
5. Billboards & Activations
- Users may register Billboards under their Organizations, subject to available quotas.
- Each Billboard Activation is secured with a unique activation code and optional PIN-based two-factor authentication.
- Billboard owners are solely responsible for the physical installation, maintenance, and legal compliance of their display equipment, including local signage regulations and property permissions.
- We do not manufacture, install, or maintain physical Billboard hardware. The Platform is a software management tool only.
- Activated Billboards communicate with the Platform via periodic pings. A Billboard that misses consecutive pings will be marked offline automatically.
- We reserve the right to remotely deactivate any Billboard that violates these Terms.
6. Content & Placards
6.1 Permitted Content
You may upload images, videos, and URLs as Placards for display on Billboards. All content must comply with applicable laws and the following restrictions.
6.2 Prohibited Content
You must not upload or display content that:
- Is illegal, obscene, defamatory, threatening, harassing, hateful, discriminatory, or otherwise objectionable.
- Infringes any third-party intellectual property, copyright, trademark, or privacy rights.
- Contains malware, viruses, or any code designed to disrupt or damage the Platform or third-party systems.
- Promotes illegal activities, violence, or harm to individuals or groups.
- Deceives or misleads viewers, including deceptive advertising or impersonation.
- Violates advertising standards or regulations in the jurisdiction where the Billboard is located.
6.3 Content Moderation
We reserve the right to review, remove, or disable any content at our sole discretion without prior notice.
The Platform may employ automated content scanning. Repeated violations may result in Account suspension or termination.
6.4 Content Ownership
You retain ownership of all content you upload. By uploading content to the Platform, you grant us a non-exclusive,
worldwide, royalty-free licence to host, store, transmit, and display that content solely for the purpose of operating
the Platform and delivering it to your designated Billboards.
7. SkyTime Scheduling & SkyCasts
- SkyTime Programs govern when Placards are displayed. Users may configure daily, weekly, or date-specific schedules.
- Locked SkyTime Programs cannot be edited, providing assurance that active schedules remain intact.
- SkyCasts allow targeted one-time or recurring broadcasts to specific activated Billboards.
- We do not guarantee uninterrupted content delivery. Network outages, hardware failures, and connectivity issues may affect display schedules.
8. Marketplace & Transactions
- The Marketplace allows users to list SkyTime inventory and publish SkyImpact windows for sale to other users.
- Buyers may purchase SkyTime and SkyImpact inventory from anywhere, but only billboards physically located in Canada are currently eligible to list and sell that inventory unless we explicitly expand seller eligibility to additional regions.
- Listings must be accurate and represent genuine available inventory. Misrepresentation of listings is prohibited.
- You may not purchase your own listings.
- SkyImpact transactions use an approval-first workflow. Creating a SkyImpact request does not by itself complete payment or guarantee activation; activation requires creative approval, agreement execution, and successful payment.
- When a seller issues a SkyImpact agreement, the approved creative snapshot becomes the governing version for that transaction. Further changes require the seller to reopen the request, which may cancel the current invoice or contract artifacts.
- Marketplace transactions may rely on platform-generated contracts, invoices, payment confirmations, electronic signatures, timestamps, and related audit records. Where the workflow requires a signature or confirmation, users agree that those electronic records may be used as part of the transaction history.
- For SkyImpact, a request is not treated as a final completed sale merely because the buyer started the workflow. Finality attaches after the required review, agreement, and payment stages are completed.
- All transactions are between the buyer and seller. SkyWrite.ca facilitates the transaction but is not a party to the sale.
- Pricing is set by the seller. SkyWrite.ca does not regulate or guarantee pricing fairness.
- Expired listings are automatically removed from the Marketplace and cannot be purchased.
- Sales are final once confirmed. Disputes between buyers and sellers should be resolved between the parties; SkyWrite.ca may assist at its discretion but is not obligated to mediate.
9. Subscriptions & Payments
- Certain features and increased resource quotas require a paid Subscription.
- Subscription tiers, pricing, and included permissions are described on the Platform and may change with advance notice.
- Payments are collected on a monthly or annual basis depending on the plan selected.
- You are responsible for keeping your payment information current. Failed payments may result in service downgrade or suspension.
- Promotional codes are single-use unless otherwise specified and subject to their own terms and expiry dates.
- Refunds are issued at our sole discretion and handled on a case-by-case basis.
10. Intellectual Property
- The Platform, including its design, code, trademarks, logos, and documentation, is the property of SkyWrite.ca and is protected by intellectual property laws.
- You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the Platform.
- The SkyWrite.ca name, logo, and branding are trademarks of SkyWrite.ca. Use is prohibited without prior written consent.
11. Privacy & Data
- Our use and collection of personal data is governed by our Privacy Policy, which forms part of these Terms.
- By using the Platform, you consent to the collection and processing of data as described in the Privacy Policy.
- We implement industry-standard security measures including hashed credentials, session management, encrypted tokens, and PIN lockout protections.
- We use cookies for essential platform functionality, analytics, and user preferences. You may manage your cookie preferences at any time through our cookie consent tool.
12. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to other users' Accounts, Billboards, or data.
- Interfere with or disrupt the Platform, its servers, or connected networks.
- Use automated scripts, bots, or crawlers to access or scrape the Platform without authorization.
- Circumvent any security, authentication, or rate-limiting mechanisms.
- Impersonate another person or entity, or misrepresent your affiliation with any person or entity.
- Use the Platform to send unsolicited communications or spam.
13. Service Availability & Disclaimers
- The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
- We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
- We are not responsible for the accuracy, reliability, or quality of any user-generated content displayed on Billboards.
- We do not guarantee any specific uptime, delivery rate, or display accuracy for scheduled content.
- Maintenance windows and service updates may temporarily disrupt access. We will endeavour to provide advance notice where practicable.
14. Limitation of Liability
To the maximum extent permitted by applicable law, SkyWrite.ca and its officers, directors, employees, and affiliates
shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to
loss of revenue, profits, data, business opportunities, or goodwill, arising out of or related to your use of or inability
to use the Platform, whether based in contract, tort, strict liability, or any other legal theory.
Our total aggregate liability for any claims arising from these Terms or your use of the Platform shall not exceed
the amounts you have paid to us in the twelve (12) months preceding the event giving rise to the liability.
15. Indemnification
You agree to indemnify, defend, and hold harmless SkyWrite.ca, its affiliates, officers, directors, employees, and agents
from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or
related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your content; or (d) your violation
of any third-party rights.
16. Termination
- You may close your Account at any time by contacting us.
- We may suspend or terminate your Account at any time, with or without cause, and with or without notice.
- Upon termination, your right to use the Platform ceases immediately. We may retain your data as required by law or for legitimate business purposes.
- Provisions that by their nature should survive termination (including indemnification, limitation of liability, and intellectual property) shall survive.
17. Modifications to Terms
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page.
Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
For material changes, we will make reasonable efforts to notify you via email or in-product notification.
18. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada,
without regard to its conflict-of-law provisions. Any disputes arising from these Terms or your use of the Platform
shall be subject to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated
to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy and any applicable Subscription terms, constitute the entire agreement
between you and SkyWrite.ca regarding your use of the Platform, and supersede all prior agreements and understandings.
